Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, software platforms, content, and other online services provided by SigmaPointPi Inc. ("SigmaPointPi" or "SPP") (collectively, the "Services").

These Terms are a binding agreement between you (the individual or the organization you represent) and SigmaPointPi Inc. ("SigmaPointPi", "we", "us") governing your use of the SigmaPointPi financial operating system, including the web application, APIs, and related services (together with the Services, the "Service"). By creating an account or using the Service you accept these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Services. Licensed software, hosted platforms, APIs, and enterprise or pilot deployments are additionally governed by the End User License Agreement. If you have an executed Order Form or master services agreement, that agreement controls in the event of conflict.

SigmaPointPi Inc. is a Delaware C corporation that operates live software platforms for financial operating systems, treasury, payments, corporate card, ledger, reconciliation, forecasting, tax orchestration, and multi-domain intelligence infrastructure. SigmaPointPi is not a registered broker dealer, investment adviser, or financial institution and does not execute trades, manage client assets, or provide investment advisory services.

2. Eligibility

You may use the Services only if you:

  • Are at least the age of majority in your jurisdiction or have the consent of a parent or legal guardian, and
  • Have the legal capacity to form a binding contract with SigmaPointPi, and
  • Are not barred from using the Services under applicable law.

Certain aspects of the Services, including any investor or partnership discussions, may be available only to institutional or accredited investors or other eligible parties, and may be subject to additional terms.

3. The Service

SigmaPointPi unifies financial operations — dashboards, accounting views, accounts payable and receivable, payroll coordination, tax calendars, risk scoring, automation, and AI-assisted analysis — on top of data you connect. Vertical-specific views (for example restaurant, healthcare, or fund dashboards) are projections of that same data, not separate books of record.

The Service presents information from your connected sources. Your bank, card processor, payroll provider, and government filings remain the systems of record. Where a figure cannot be computed from connected data, the Service shows an explicit empty state rather than an estimate.

4. Informational Purpose; Not Investment Advice

The content, models, simulations, descriptions, and other materials made available through the Services are provided for informational purposes in connection with our software platforms and business communications.

In particular:

  • Nothing on the Services constitutes financial, investment, trading, legal, tax, or other professional advice.
  • SigmaPointPi is not a registered broker dealer, investment adviser, or financial institution and does not execute trades, accept client funds for trading, or provide asset management or investment advisory mandates.
  • Descriptions of platform capabilities, roadmaps, or future features may change and are subject to applicable law, eligibility, and separate agreements where required.
  • No information on the Services constitutes an offer to sell or a solicitation of an offer to buy any security or other financial instrument.

You are solely responsible for any decisions you make based on information from the Services. You should consult your own professional advisers before making any financial, legal, or other decisions.

5. Accounts and Security

If we provide account based access, including "Client Login", you agree to:

  • Provide accurate and complete account information and update it as needed.
  • Maintain the confidentiality of your login credentials and not share them with any third party.
  • Notify us promptly at privacy@sigmapointpi.com of any suspected unauthorized access or breach of security involving your account.

We support and recommend multi-factor authentication and passkeys. Sensitive actions can require step-up verification. You are responsible for activity under your account until you notify us of unauthorized use at the addresses above.

You are responsible for all activities that occur under your account, whether or not you authorized them.

We reserve the right, in our sole discretion and without liability, to suspend or terminate accounts, restrict access, or modify features at any time, including for suspected violations of these Terms or applicable law.

6. Connected Data Sources

You may connect financial accounts and business systems through integration partners (for example, bank connections via Plaid and provider OAuth for commerce, billing, or payroll platforms). By connecting a source you authorize SigmaPointPi to retrieve the data that source exposes (such as balances, transactions, invoices, or payroll summaries) and to display and analyze it inside your workspace. You can disconnect a source at any time, which stops new retrieval.

7. Money Movement

Where money movement features are available, they are executed by regulated banking and payment partners; SigmaPointPi is not a bank. Payment features are disabled by default and become available only when the applicable partner relationship, verification (KYC/KYB), and regulatory requirements for your account are satisfied. You must review and approve payment instructions before execution; AI features propose, humans approve (see Section 9). You are responsible for the accuracy of payment instructions you approve.

8. Fees

Pricing for paid plans is presented at purchase. Unless stated otherwise, fees are exclusive of taxes, charged in USD, and non-refundable except where required by law. We will give at least 30 days' notice before a price change takes effect for your existing plan.

9. AI Features

The Service includes AI-assisted features (insights, anomaly flags, natural-language queries, automation proposals). AI output can be imperfect and is provided to inform — not replace — your judgment. AI features never move money on their own: any action that affects funds requires explicit human approval through the Service's approval surfaces, and every action is recorded in an audit trail.

10. License, Your Data, and Intellectual Property

Subject to your compliance with these Terms, SigmaPointPi grants you a limited, non exclusive, non transferable, revocable license to access and use the Services for your personal or internal business purposes, solely as permitted by these Terms and applicable law.

You own your data. You grant us the license needed to host, process, display, and back it up to operate the Service. We own the Service, including software, design systems, and models' orchestration. Feedback you give us may be used without obligation. On termination you may export your data for 30 days, after which we delete it on a scheduled cycle except where retention is legally required.

All content and materials on the Services, including text, graphics, logos, icons, images, diagrams, software, algorithms, models, and designs, are owned by or licensed to SigmaPointPi and are protected by intellectual property and other laws. Except as expressly permitted by these Terms, you may not:

  • Copy, reproduce, modify, adapt, translate, or create derivative works of any part of the Services.
  • Reverse engineer, decompile, or disassemble any software or models, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
  • Remove, obscure, or alter any proprietary notices.
  • Use any data mining, robots, or similar data gathering or extraction methods.

Any feedback, suggestions, or ideas you submit regarding the Services may be used by SigmaPointPi without restriction and without obligation to you, and you hereby assign or agree to assign all right, title, and interest in such feedback to SigmaPointPi to the maximum extent permitted by law.

11. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
  • Use the Service for unlawful activity, including money laundering, sanctions evasion, or fraud.
  • Attempt to gain unauthorized access to the Services, accounts, or systems, or interfere with or disrupt the operation or security of the Services.
  • Probe, disrupt, or overload the Service, or access another tenant's data.
  • Reverse-engineer non-public parts of the Service except where the law permits.
  • Resell the Service without our written agreement.
  • Upload, transmit, or otherwise make available any content that is unlawful, harmful, fraudulent, infringing, or otherwise objectionable.
  • Misrepresent your identity, affiliation, authorization, or status (including your investor status) in any interaction with SigmaPointPi.
  • Use the Services to develop, train, or operate competing systems in violation of any applicable law or contract, or to circumvent regulatory requirements.
  • Use automated tools to scrape, harvest, or index the Services except as allowed by a publicly available robots.txt file or a separate written agreement with SigmaPointPi.

We may investigate and take appropriate action regarding any suspected violation of these Terms, including cooperation with law enforcement and regulators. We may suspend accounts that present legal, security, or fraud risk, and where lawful we will tell you why.

12. Third Party Services and Content

The Services may contain links to or integrations with third party websites, platforms, or services. SigmaPointPi does not control and is not responsible for third party services or their content, policies, or practices. Your use of third party services is at your own risk and may be subject to additional terms and privacy policies.

13. Forward Looking Statements

The Services may contain forward looking statements, including statements about SigmaPointPi's research, plans, objectives, future products, regulatory strategy, and potential performance. These statements are based on current expectations and assumptions and are subject to risks and uncertainties. Actual outcomes may differ materially. SigmaPointPi has no obligation to update any forward looking statements.

14. Disclaimers

To the maximum extent permitted by law:

  • The Services are provided "as is" and "as available" without any warranties of any kind, whether express, implied, or statutory.
  • SigmaPointPi disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non infringement, and any warranties arising from course of dealing or usage of trade.
  • SigmaPointPi does not provide legal, tax, investment, or accounting advice; figures, scores, and forecasts are informational.
  • SigmaPointPi does not warrant that the Services will be accurate, complete, reliable, error free, secure, or uninterrupted, or that any defects will be corrected.
  • You assume all risk for your use of the Services and any reliance on information obtained through the Services.

Your statutory rights are unaffected where they cannot be disclaimed.

15. Limitation of Liability

To the maximum extent permitted by law:

  • SigmaPointPi and its founders, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with the Services or these Terms, even if advised of the possibility of such damages.
  • To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
  • SigmaPointPi's total aggregate liability for any claims arising out of or in connection with the Services or these Terms will not exceed one hundred United States dollars (USD 100).

Nothing limits liability for fraud, willful misconduct, or where the law forbids limitation. Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless SigmaPointPi and its founders, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services,
  • Your violation of these Terms,
  • Your violation of any applicable law or regulation, or
  • Your infringement or misappropriation of any third party rights.

17. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate for material breach, legal requirement, or risk to the Service or other customers; where practical we will give notice and a chance to cure. Sections that by nature survive (data export, IP, disclaimers, liability limits, disputes) survive termination.

18. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them or the Services are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law rules.

You agree that any dispute between you and SigmaPointPi will be resolved in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction and venue of such courts, unless applicable law requires a different forum. Nothing in these Terms limits any right you may have under mandatory law in your jurisdiction.

19. Changes to the Terms

We may modify these Terms from time to time. When we do, we will update the "Effective date" above and may provide additional notice where required. Material changes will be notified in-product or by email at least 14 days before they take effect, and continued use constitutes acceptance. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.
