Last updated: June 28, 2026

1. Purpose of This Disclosure

This Risk Disclosure Statement is provided by SigmaPointPi Inc. ("SigmaPointPi" or "SPP") for informational purposes. It supplements the Terms of Service and clarifies key risks associated with:

  • Using SigmaPointPi software platforms, analytics, and intelligence Services.
  • Considering engagement with SigmaPointPi as a user, partner, or investor.

SigmaPointPi Inc., a Delaware C corporation, operates live technology platforms but is not a registered broker dealer, investment adviser, or trading firm. We do not execute trades or manage client investment portfolios. Analytics and outputs relating to financial and other domains involve significant risk, may be incomplete or inaccurate, and are not investment advice. Specific products or features may be subject to separate terms, eligibility requirements, and regulatory obligations.

2. No Investment Advice or Offer

The Services and any associated communications:

  • Do not constitute financial, investment, trading, legal, tax, or accounting advice.
  • Do not constitute an offer to sell or a solicitation of an offer to buy any securities, financial instruments, or services.
  • Are not tailored to your individual circumstances, objectives, or risk tolerance.

You should consult independent professional advisers before making any financial or investment decisions.

3. Market and Investment Risk

Financial markets, digital assets, macroeconomic systems, and related domains are inherently risky and volatile. Risks include, but are not limited to:

  • Sudden and extreme price movements, including gaps and flash events.
  • Illiquidity and inability to enter or exit positions at desired prices or times.
  • Counterparty default risk.
  • Currency risk and cross border transfer restrictions.
  • Regulatory actions, policy changes, and geopolitical events that affect markets and instruments.

Past performance, backtests, or simulations based on historical data are not indicative of future results. You can lose all or a substantial portion of any capital deployed in financial markets.

4. Model, Data, and Algorithmic Risk

SigmaPointPi focuses on advanced models, algorithms, and data driven systems. These approaches carry additional risks:

  • Model risk: Models may be incomplete, misspecified, overfitted, or based on incorrect assumptions and may fail in stressed or novel conditions.
  • Data risk: Data may be inaccurate, incomplete, delayed, biased, or subject to revision, leading to flawed outputs.
  • Algorithmic risk: Automated decision making can magnify errors, respond unexpectedly to unusual patterns, or interact with other market participants in unforeseen ways.
  • Parameter and calibration risk: Choices about parameters, features, and training can materially affect outcomes and may not generalize out of sample.

Outputs from SigmaPointPi platforms and analytics should never be treated as guaranteed predictions or as a substitute for independent judgment.

5. Technology, Cybersecurity, and Operational Risk

Use of the Services and any future platforms involves technology and operational risk, including:

  • System outages, latency, software bugs, and failures of hardware or networks.
  • Cybersecurity incidents such as hacking, malware, data breaches, or unauthorized access.
  • Misconfiguration of infrastructure or access control.
  • Dependency on third party providers for hosting, connectivity, and integrations.

These events can cause loss of data, interruption of services, and potentially financial or reputational harm. While SigmaPointPi seeks to implement reasonable safeguards, no system is completely secure or reliable.

The domains in which SigmaPointPi operates and intends to operate, including financial markets and multi domain intelligence, are subject to complex and evolving laws and regulations worldwide. Risks include:

  • Changes in laws, regulations, or regulatory interpretations that restrict or prohibit certain strategies, products, or data uses.
  • Licensing, registration, and reporting requirements that may affect the scope, timing, or feasibility of future services.
  • Conflicts between laws in different jurisdictions and cross border compliance challenges.
  • Enforcement actions or investigations involving market practices, information use, or operational controls.

There is no guarantee that any particular product, strategy, or business model will receive or maintain regulatory approval.

7. Platform and Product Evolution Risk

The Services include software platforms and capabilities that continue to evolve. Risks include:

  • Plans, roadmaps, and described features may change, be delayed, or be discontinued.
  • Platform behavior may differ across environments, releases, or customer configurations.
  • Real world constraints, regulatory requirements, or operational limits may affect availability or performance.

Any expectations about the future role, performance, or availability of SigmaPointPi systems are inherently uncertain and subject to change.

8. Investor and Capital Risk

If you engage with SigmaPointPi as a prospective or actual investor in the future:

  • Investments in private technology and financial infrastructure companies are highly speculative and involve a high degree of risk.
  • You may lose all or a substantial part of your investment.
  • Your investment may be illiquid and difficult or impossible to sell or value.
  • Returns, if any, may take many years to realize, and there may be no public market or exit opportunity.
  • Legal, tax, and regulatory consequences can be complex and are highly dependent on individual circumstances.

Any future securities offerings by SigmaPointPi, if and when they occur, will be made only under specific offering documents that you should read carefully in their entirety with your advisers.

9. Your Responsibility

By accessing or using the Services, you acknowledge that:

  • You understand the high level risks described in this Risk Disclosure Statement.
  • You will not rely on SigmaPointPi or the Services as the sole basis for any financial or strategic decision.
  • You are responsible for conducting your own due diligence and consulting appropriate professional advisers.

If you do not understand or accept these risks, you should not rely on any SigmaPointPi materials, platform outputs, or communications for decision making.
