Keep authorised shares current

Issuing beyond authorised is void. Every increase is a charter amendment with a board and stockholder approval behind it.

Qualify where you operate

Employees or an office in a state usually requires foreign qualification there. Operating without it carries penalties and can bar you from that state's courts.

Maintain the registered agent

Service of process goes there. A lapsed agent means a lawsuit you learn about after a default judgment.

Do we need to qualify in every state we sell into?

Selling alone usually does not require it. Employees, an office or property usually does. It is a different test from tax nexus and both are tracked.
