Every meeting holds its date, attendance, materials, resolutions and the consent record. Written consents in lieu of a meeting are held the same way.

How to work this page

Record the meeting before it happens

Date, attendees and the materials circulated. Notice requirements come from your own documents and are tracked against them.

Capture resolutions as resolved

The exact wording passed, not a summary. That wording is what the record consists of.

Track consents to completion

A written consent needs every required signature. Outstanding ones are listed rather than assumed complete.

Link approvals to what they approved

An option grant links to the consent that authorised it. That link is the thing diligence asks for.
